Writing Effectively: A Guide for the Perplexed Legal Professional. The ability to write well is essential to a successful professional career. Judges and attorneys, colleagues and clients may evaluate your competence by your writing. This presentation will examine four qualities of effective legal writing — concision, precision, clarity and coherence — and will suggest practical means to attain them. By the end of the workshop, you should be able to examine any writing in a new light and apply what you have learned to draft legal prose.

Michael Zweibel possesses an extensive background in law and mediation practice and university teaching. In particular, Michael has an extensive background in teaching legal writing and research in both law and paralegal schools. As a California Bar member for 23 years, he has practiced in the areas of litigation, immigration, and criminal appellate law. In association with LAPA, he has taught CLA review courses in legal research and communication skills. He earned a B.A. in Hebrew and an M.A. in Near Eastern Languages & Literatures from UCLA. He later earned a law degree from Southwestern University School of Law, where he coauthored the Pacific Region winning brief in the Jessup International Moot Court Competition.

LAPA’S Corporate/Real Estate Section Presents:

WHAT YOU NEED TO KNOW ABOUT SENATE BILL 2956


Lynn Conner, the President of Parasec, a public records research company, will speak at the February 12th , 2009 LAPA Corporate/Real Estate Seminar. She will discuss the current climate and concerns regarding terrorism, money laundering, tax evasion and violation of U.S. Federal laws. Lynn will explain how the perpetrators of these types of illegal activities are utilizing our current system of corporate entity formation for their illicit purposes. These criminals have found a way to exploit state-level loopholes to further their agendas, and Lynn will explain how and why these activities will soon change the way we all go about forming entities in the future.

A recent proposal submitted to the Senate Permanent Subcommittee on Investigations by the National Association of Secretaries of State, in an effort to avoid federal legislation, was summarily rejected by Senator Carl Levin, Chairman of the subcommittee. As a result, Senator Levin introduced federal legislation on May 1, 2008 . The bill, called the Incorporation Transparency and Law Enforcement Assistance Act (or Senate Bill 2956), would set minimum standards for disclosure of beneficial ownership information. If passed, the bill would affect anyone who handles any aspect of entity formations and would likely go into effect sometime in 2009.

Lynn will address the specific features of SB 2956 as well as privacy issues, potential problems and how the bill is being received by those active in the industry. In addition, she will discuss alternative solutions that have been suggested by other parties.

This is a topical, relevant and extremely important issue to anyone in the field of Corporate Law. At the same time, very few people are aware of the challenges that lie ahead. Come find out where the future of entity formations is headed and how these changes may drastically affect you, your relationship with your client and the way business is transacted in this country.

Featuring James Birnberg, Esq. and Matthew S. Rae, Esq. Jim Birnberg, Esq. and Matthew S. Rae, Esq., in their popular "Dog & Pony Show", will discuss new California legislation and its affects on estate planning, trusts, probate, conservatorship and guardianship proceedings. They will also give their predictions for the year 2009 and their recap of 2008.

James Birnberg, Esq. is a partner in the law firm of Oldman, Cooley, Leighton, Sallus, Birnberg & Coleman, L.L.P. where he practices in the areas of estate planning, probate and trust administration and death and fiduciary income taxation. He has practiced law since 1966. He is presently a member of the Legislation Committee and Incapacity Committee of the State Bar Trust and Estates Section. Since 2002 Mr. Birnberg has been a member of the Probate and Mental Health Advisory Committee to the State Judicial Council of which he has been a Legislative Chair since 2004. He was awarded the Arthur K. Marshall Award by the Los Angeles County Trust and Estates Section in 2002 and has authored a number of important papers including a chapter in California Estate Planning Book published through CEB.

Matthew S. Rae, Esq. is an attorney at the law firm of Darling, Hall & Rae. As a graduate of Duke University , he received his law degree from Stanford University and has practiced law since 1948. He was awarded the Arthur K. Marshall Award in 1984, the Spirit Award in 1998, and the Shattuck-Price Award from the Los Angeles County Bar Foundation in 1990. In addition, Mr. Rae was Chairman of the Probate and Trust Law Committee of the California State Bar in 1974 & 1975, Chairman of the Legislation Committee of the California State Bar from 1977 to 1989 and is currently on the Probate and Mental Health Advisory Committee for the Judicial Council of California.
